Terms and Conditions<\/span><\/h2><\/div><\/div><\/div>

I. General<\/p>\n

1. The following terms and conditions form an integral part of the contract concluded with us.
\n2. Our General Terms and Conditions of Sale, in their latest version, shall also apply to all subsequent transactions, without this needing to be expressly stated or agreed upon at the time of their conclusion.
\n3. We hereby reject any counter-confirmations, counter-offers or other references by the customer to their terms and conditions; any deviating terms and conditions of the customer shall only apply if we have confirmed them in writing.
\n4. The customer may only assign claims arising from legal transactions concluded with us with our express confirmation.<\/p>\n

II. Quotations\/Orders<\/p>\n

1. Our quotations are always subject to change \u2013 in particular with regard to quantity, price and delivery time.
\n2. Orders placed by the customer shall only be deemed accepted once we have confirmed them in writing. The customer remains bound to their order for four weeks after it has been submitted. If we do not specifically confirm a contract concluded verbally, by telephone or by email in writing (e.g. by means of a delivery note), the invoice issued by us shall serve as confirmation.<\/p>\n

III. Information<\/p>\n

1. Information and details, for example regarding the technical specifications and characteristics of goods and products, are always provided without any guarantee as to their completeness or accuracy. We accept liability only in the event of gross negligence or wilful misrepresentation.<\/p>\n

IV. Prices<\/p>\n

1. Unless otherwise agreed, our prices are on an \u2018ex works\u2019 basis. Packaging and transport will be invoiced separately.
\n2. Confirmed prices are binding for a period of 2 months following receipt of the written order confirmation. After this period, invoicing shall be based on the terms charged to us by the manufacturers or suppliers at the prices applicable on the date of performance. If the increase exceeds 10 per cent of the agreed price, the customer is entitled to withdraw from the contract.
\n3. If, between the conclusion of the contract and delivery, additional or increased charges \u2013 in particular customs duties, levies or currency adjustments \u2013 arise due to changes in legal provisions, we are entitled to increase the agreed purchase price accordingly. The same applies to inspection fees.
\n4. Unless shown separately, VAT is not included in the prices. It will be invoiced at the statutory rate on the date of performance.<\/p>\n

V. Delivery times, delay in performance and partial deliveries<\/p>\n

1. Goods are always transported uninsured and, in all cases, at the customer\u2019s risk. This applies even in the case of carriage paid deliveries and regardless of the means of transport used. Transport insurance will only be taken out at the customer\u2019s express request. Any costs arising from this shall be borne solely by the customer.
\n2. In the absence of any written agreement to the contrary, the choice of dispatch location, route and means of transport shall be made by us at our discretion, without any liability on our part to provide the cheapest or fastest transport.
\n3. If the customer provides the means of transport, they are responsible for ensuring it is made available on time. We must be notified of any delays in good time. Any costs arising therefrom shall be borne by the customer.
\n4. We are entitled to make reasonable partial deliveries.
\n5. Our obligation to deliver is subject to timely and proper supply from our own suppliers.
\n6. Stated delivery and unloading times are always non-binding, unless expressly agreed otherwise in writing. We shall only be able to effect a delivery or provide a service once all data and information required for the fulfilment of the order are known to us.
\n7. Delivery delays due to force majeure or unforeseen events for which we are not responsible, such as operational disruptions, strikes, lockouts, official orders, the subsequent loss of export or import opportunities, as well as our right to withhold supply pursuant to paragraph 5 above, shall release us from the obligation to adhere to any agreed delivery or unloading times for the duration and to the extent of their effects. They shall also entitle us to withdraw from the contract, without the customer being entitled to compensation or any other claims as a result.
\n8. If an agreed delivery or unloading time is exceeded without there being an impediment to delivery as set out in paragraph 7 above, the customer must grant us, in writing, a reasonable grace period of at least 2 weeks. If we fail to meet this grace period through our own fault, the customer shall be entitled to withdraw from the contract, but not to claim damages for non-performance or delay, unless we are guilty of wilful misconduct or gross negligence.<\/p>\n

VI. Payment<\/p>\n

1. Our claims for goods and services are due for payment without any deduction on the date the invoice is issued. Bill of exchange or discount charges shall be borne by the customer and are due immediately.
\n2. Should a customer fall into arrears, we are entitled to charge interest on arrears at a rate of 8 per cent above the ECB\u2019s base rate (Section 288(2) of the German Civil Code (BGB)). This does not affect our right to claim further damages.
\n3. The customer shall only be entitled to set-off, retention or reduction if their counter-claims have been legally established, are undisputed or have been acknowledged by us. The exercise of a right of retention is only permissible if the customer\u2019s counter-claim is based on the same contractual relationship.
\n4. If the customer is no longer conducting business in the ordinary course or if circumstances arise which cast doubt on their creditworthiness \u2013 in particular if their assets are subject to attachment, a cheque or bill of exchange is protested, payment is delayed or suspended, or if the customer applies for insolvency proceedings, we shall be entitled to declare all our claims immediately due and payable, even if we have accepted bills of exchange or cheques. Furthermore, in such a case, we shall be entitled to demand advance payment or security, or to withdraw from the contract.<\/p>\n<\/div><\/div><\/div>

VII. Extended retention of title<\/p>\n

1. We retain title to the goods delivered by us until all claims to which we are entitled arising from the ongoing business relationship with the customer \u2013 including those arising from previous deliveries \u2013 have been settled in full. We must be notified immediately of any attachments or other interventions by third parties. 2. In the event of the customer\u2019s breach of contract, in particular in the event of default in payment, we shall be entitled to reclaim the delivered goods for the purpose of satisfying our claims and to realise their value, without this constituting a withdrawal from the contract. The proceeds realised from the sale, less any costs incurred in realising the value, shall be set off against the customer\u2019s liabilities.<\/p>\n

VIII. Extended retention of title<\/p>\n

1. Any processing or transformation of the goods subject to retention of title shall always be carried out in our interest. The customer\u2019s right to the goods delivered shall continue to apply to the processed or transformed item.
\n2. If the goods subject to retention of title are processed or inseparably mixed with other items not belonging to us, we shall at that time acquire co-ownership of the new item in the proportion of the objective value of the goods delivered by us to that of the other processed or mixed items. If the mixing takes place in such a way that the customer\u2019s item is to be regarded as the principal item, it is agreed that the customer shall, by virtue of the processing, tacitly and proportionally transfer co-ownership to us.
\n3. The customer is entitled to process, transform, mix with other items and\/or resell the goods subject to retention of title in the ordinary course of business. However, the customer assigns to us all claims arising from the resale against its customers or third parties, in the amount of the purchase price agreed with us, including VAT.
\n4. If the customer defaults on payment or if there is any other material deterioration in their financial circumstances, we are entitled to prohibit the resale of the goods supplied by us and the collection of the claims arising from such resale.
\n5. The customer must then provide us with the information necessary to recover the claims, hand over the relevant documents and notify its customers of the advance assignment made in our favour. In addition, we are also authorised to give notice of the advance assignment on the customer\u2019s behalf.<\/p>\n

IX. Duty to inspect, warranty<\/p>\n

1. The customer is obliged, upon delivery of the goods to the agreed destination or, in the case of collection by the customer, upon taking delivery, to inspect the goods immediately with regard to quantity, weights and packaging, and to note any complaints in this regard on the delivery note, consignment note or receipt; and to carry out a quality control check, at least on a representative random basis, opening the packaging to the extent necessary for this purpose.
\n2. When raising a complaint regarding any defects, the buyer must comply with the following procedures and time limits: The complaint must be made by the end of the working day following the delivery of the goods to the agreed destination or their collection. In the case of a complaint regarding a latent defect which, despite a proper initial inspection in accordance with paragraph 1, remained undetected at first, a different time limit applies, whereby the complaint must be made by the end of the working day following the discovery of the defect, but no later than within 2 weeks of delivery of the goods or their acceptance. The notice of defect must be received by us in writing, by fax or by email, setting out the details, within the aforementioned time limits. A notice of defect given by telephone is not sufficient. Complaints made to commercial representatives, brokers or agents shall be disregarded. The nature and extent of the alleged defect must be clearly stated in the complaint. The customer is obliged to make the goods subject to complaint available at the place of inspection for examination by us, our suppliers or experts appointed by us.
\n3. Goods for which a complaint has not been made in the proper form and within the prescribed time limit shall be deemed to have been approved and accepted.
\n4. In the event of complaints made in the proper form and within the prescribed time limit, and provided that there is a defect in our services for which we are responsible, we shall be entitled, at our discretion, to remedy the defect, provide a replacement delivery or carry out rectification work. In doing so, we shall bear the necessary expenses, in particular transport, travel, labour and material costs.
\n5. The customer shall have no further rights or claims. In particular, we shall not be liable for damages arising from non-performance or defective performance, unless the goods delivered by us lack a characteristic expressly warranted by us or there is intent or gross negligence on our part.<\/p>\n

X. Place of performance\/jurisdiction<\/p>\n

1. Villingen-Schwenningen is agreed as the exclusive place of performance for all deliveries, services and payments.
\n2. The law of the Federal Republic of Germany shall apply. International sales law is excluded. This also expressly applies to the application of the United Nations Convention on Contracts for the International Sale of Goods (CISG).
\n3. The place of jurisdiction for all disputes arising from the contractual relationship is Villingen-Schwenningen. However, we are also entitled to choose a different place of jurisdiction.<\/p>\n

XI. Final Provisions<\/p>\n

1. Should any provision of these General Terms and Conditions of Sale be invalid, this shall not affect the validity of the remaining provisions. Invalid provisions shall be deemed to be replaced by provisions that are capable of achieving the economic purpose of the invalid provision as far as possible.
\n2. We have stored data relating to the customer in accordance with the Data Protection Act.<\/p>\n<\/div><\/div><\/div><\/div><\/div><\/div>\n","protected":false,"raw":"[fusion_builder_container The same applies to inspection fees.\r\n4. Unless shown separately, VAT is not included in the prices. It will be invoiced at the statutory rate on the date of performance.<\/p>\r\n

V. Delivery times, delay in performance and partial deliveries<\/p>\r\n

1. Goods are always transported uninsured and, in all cases, at the customer\u2019s risk. This applies even in the case of carriage paid deliveries and regardless of the means of transport used. Transport insurance will only be taken out at the customer\u2019s express request. Any costs arising from this shall be borne solely by the customer.\r\n2. In the absence of any written agreement to the contrary, the choice of dispatch location, route and means of transport shall be made by us at our discretion, without any liability on our part to provide the cheapest or fastest transport.\r\n3. If the customer provides the means of transport, they are responsible for ensuring it is made available on time. We must be notified of any delays in good time. Any costs arising therefrom shall be borne by the customer.\r\n4. We are entitled to make reasonable partial deliveries.\r\n5. Our obligation to deliver is subject to timely and proper supply from our own suppliers.\r\n6. Stated delivery and unloading times are always non-binding, unless expressly agreed otherwise in writing. We shall only be able to effect a delivery or provide a service once all data and information required for the fulfilment of the order are known to us.\r\n7. Delivery delays due to force majeure or unforeseen events for which we are not responsible, such as operational disruptions, strikes, lockouts, official orders, the subsequent loss of export or import opportunities, as well as our right to withhold supply pursuant to paragraph 5 above, shall release us from the obligation to adhere to any agreed delivery or unloading times for the duration and to the extent of their effects. They shall also entitle us to withdraw from the contract, without the customer being entitled to compensation or any other claims as a result.\r\n8. If an agreed delivery or unloading time is exceeded without there being an impediment to delivery as set out in paragraph 7 above, the customer must grant us, in writing, a reasonable grace period of at least 2 weeks. If we fail to meet this grace period through our own fault, the customer shall be entitled to withdraw from the contract, but not to claim damages for non-performance or delay, unless we are guilty of wilful misconduct or gross negligence.<\/p>\r\n

VI. Payment<\/p>\r\n

1. Our claims for goods and services are due for payment without any deduction on the date the invoice is issued. Bill of exchange or discount charges shall be borne by the customer and are due immediately.\r\n2. Should a customer fall into arrears, we are entitled to charge interest on arrears at a rate of 8 per cent above the ECB\u2019s base rate (Section 288(2) of the German Civil Code (BGB)). This does not affect our right to claim further damages.\r\n3. The customer shall only be entitled to set-off, retention or reduction if their counter-claims have been legally established, are undisputed or have been acknowledged by us. The exercise of a right of retention is only permissible if the customer\u2019s counter-claim is based on the same contractual relationship.\r\n4. If the customer is no longer conducting business in the ordinary course or if circumstances arise which cast doubt on their creditworthiness \u2013 in particular if their assets are subject to attachment, a cheque or bill of exchange is protested, payment is delayed or suspended, or if the customer applies for insolvency proceedings, we shall be entitled to declare all our claims immediately due and payable, even if we have accepted bills of exchange or cheques. VII. Extended retention of title<\/p>\r\n1. We retain title to the goods delivered by us until all claims to which we are entitled arising from the ongoing business relationship with the customer \u2013 including those arising from previous deliveries \u2013 have been settled in full. We must be notified immediately of any attachments or other interventions by third parties. 2. In the event of the customer\u2019s breach of contract, in particular in the event of default in payment, we shall be entitled to reclaim the delivered goods for the purpose of satisfying our claims and to realise their value, without this constituting a withdrawal from the contract. The proceeds realised from the sale, less any costs incurred in realising the value, shall be set off against the customer\u2019s liabilities.\r\n

VIII. Extended retention of title<\/p>\r\n

1. Any processing or transformation of the goods subject to retention of title shall always be carried out in our interest. The customer\u2019s right to the goods delivered shall continue to apply to the processed or transformed item.\r\n2. If the goods subject to retention of title are processed or inseparably mixed with other items not belonging to us, we shall at that time acquire co-ownership of the new item in the proportion of the objective value of the goods delivered by us to that of the other processed or mixed items. If the mixing takes place in such a way that the customer\u2019s item is to be regarded as the principal item, it is agreed that the customer shall, by virtue of the processing, tacitly and proportionally transfer co-ownership to us.\r\n3. The customer is entitled to process, transform, mix with other items and\/or resell the goods subject to retention of title in the ordinary course of business. However, the customer assigns to us all claims arising from the resale against its customers or third parties, in the amount of the purchase price agreed with us, including VAT.\r\n4. If the customer defaults on payment or if there is any other material deterioration in their financial circumstances, we are entitled to prohibit the resale of the goods supplied by us and the collection of the claims arising from such resale.\r\n5. The customer must then provide us with the information necessary to recover the claims, hand over the relevant documents and notify its customers of the advance assignment made in our favour. In addition, we are also authorised to give notice of the advance assignment on the customer\u2019s behalf.<\/p>\r\n

IX. Duty to inspect, warranty<\/p>\r\n

1. The customer is obliged, upon delivery of the goods to the agreed destination or, in the case of collection by the customer, upon taking delivery, to inspect the goods immediately with regard to quantity, weights and packaging, and to note any complaints in this regard on the delivery note, consignment note or receipt; and to carry out a quality control check, at least on a representative random basis, opening the packaging to the extent necessary for this purpose.\r\n2. When raising a complaint regarding any defects, the buyer must comply with the following procedures and time limits: The complaint must be made by the end of the working day following the delivery of the goods to the agreed destination or their collection. In the case of a complaint regarding a latent defect which, despite a proper initial inspection in accordance with paragraph 1, remained undetected at first, a different time limit applies, whereby the complaint must be made by the end of the working day following the discovery of the defect, but no later than within 2 weeks of delivery of the goods or their acceptance. The notice of defect must be received by us in writing, by fax or by email, setting out the details, within the aforementioned time limits. A notice of defect given by telephone is not sufficient. Complaints made to commercial representatives, brokers or agents shall be disregarded. The nature and extent of the alleged defect must be clearly stated in the complaint. The customer is obliged to make the goods subject to complaint available at the place of inspection for examination by us, our suppliers or experts appointed by us.\r\n3. Goods for which a complaint has not been made in the proper form and within the prescribed time limit shall be deemed to have been approved and accepted.\r\n4. In the event of complaints made in the proper form and within the prescribed time limit, and provided that there is a defect in our services for which we are responsible, we shall be entitled, at our discretion, to remedy the defect, provide a replacement delivery or carry out rectification work. In doing so, we shall bear the necessary expenses, in particular transport, travel, labour and material costs.\r\n5. The customer shall have no further rights or claims. In particular, we shall not be liable for damages arising from non-performance or defective performance, unless the goods delivered by us lack a characteristic expressly warranted by us or there is intent or gross negligence on our part.<\/p>\r\n

X. Place of performance\/jurisdiction<\/p>\r\n

1. Villingen-Schwenningen is agreed as the exclusive place of performance for all deliveries, services and payments.\r\n2. The law of the Federal Republic of Germany shall apply. International sales law is excluded. This also expressly applies to the application of the United Nations Convention on Contracts for the International Sale of Goods (CISG).\r\n3. The place of jurisdiction for all disputes arising from the contractual relationship is Villingen-Schwenningen. However, we are also entitled to choose a different place of jurisdiction.<\/p>\r\n

XI. Final Provisions<\/p>\r\n

1. Should any provision of these General Terms and Conditions of Sale be invalid, this shall not affect the validity of the remaining provisions. Invalid provisions shall be deemed to be replaced by provisions that are capable of achieving the economic purpose of the invalid provision as far as possible.\r\n2. We have stored data relating to the customer in accordance with the Data Protection I. Allgemeines<\/p>\r\n

II. Angebote\/Bestellungen<\/p>\r\n

1. Unsere Angebote werden \u2013 insbesondere nach Menge, Preis und Lieferzeit \u2013 stets freibleibend abgegeben.\r\n2. Bestellungen des Kunden gelten erst dann als angenommen, wenn wir sie schriftlich best\u00e4tigt haben. An seine Bestellung h\u00e4lt sich der Kunde nach ihrer Absendung vier Wochen gebunden. Wenn wir einen m\u00fcndlich, fernm\u00fcndlich oder per E-Mail geschlossenen Vertrag nicht besonders schriftlich best\u00e4tigen (z.B. durch Lieferschein), gilt die von uns erteilte Rechnung als Best\u00e4tigung.<\/p>\r\n

III. Ausk\u00fcnfte<\/p>\r\n

1. Hinweise und Ausk\u00fcnfte, bspw. zu technischen Spezifikationen und Eigenschaften von Waren und Produkten, werden stets ohne Gew\u00e4hr f\u00fcr Vollst\u00e4ndigkeit und Richtigkeit erteilt. Eine Haftung \u00fcbernehmen wir nur bei grob fahrl\u00e4ssiger oder vors\u00e4tzlich falscher Auskunft.<\/p>\r\n

IV. Preise<\/p>\r\n

1. Vorbehaltlich abweichender Vereinbarungen sind unsere Preise \u201eab Werk\u201c vereinbart. Verpackung und Transport werden gesondert in Rechnung gestellt.\r\n2. Best\u00e4tigte Preise sind auf die Dauer von 2 Monaten nach Zugang der schriftlichen Auftragsbest\u00e4tigung verbindlich. Nach diesem Zeitpunkt erfolgt die Berechnung unter Ber\u00fccksichtigung der uns durch die Hersteller bzw. Zulieferer in Rechnung gestellten Konditionen zu den am Leistungstage geltenden Preisen. Betr\u00e4gt die Erh\u00f6hung mehr als 10 % des vereinbarten Preises, ist der Kunde zum R\u00fccktritt vom Vertrag berechtigt.\r\n3. Wenn zwischen Vertragsabschluss und Lieferung auf Grund ver\u00e4nderter Rechtsnormen zus\u00e4tzliche oder erh\u00f6hte Abgaben \u2013 insbesondere Z\u00f6lle, Absch\u00f6pfung, W\u00e4hrungsausgleich \u2013 anfallen, sind wir berechtigt, den vereinbarten Kaufpreis entsprechend zu erh\u00f6hen. Gleiches gilt f\u00fcr Untersuchungsgeb\u00fchren.\r\n4. Die Umsatzsteuer ist \u2013 soweit nicht gesondert ausgewiesen \u2013 in den Preisen nicht enthalten. Sie wird in gesetzlicher H\u00f6he am Leistungstag in Rechnung gestellt.<\/p>\r\n

V. Lieferfristen, Leistungsverzug und Teillieferungen<\/p>\r\n

1. Die Ware reist stets unversichert und in jedem Fall auf Gefahr des Kunden. Dies gilt auch bei frachtfreier Lieferung und unabh\u00e4ngig davon, welches Transportmittel verwendet wird. Eine Transportversicherung wird nur auf ausdr\u00fccklichen Wunsch des Kunden abgeschlossen. Hieraus erwachsende Kosten gehen alleine zu Lasten des Kunden.\r\n2. Die Wahl des Versandortes und des Bef\u00f6rderungsweges, sowie des Transportmittels erfolgt mangels abweichender schriftlicher Vereinbarung durch uns nach bestem Ermessen, ohne \u00dcbernahme einer Haftung f\u00fcr billigste und schnellste Bef\u00f6rderung.\r\n3. Stellt der Kunde das Transportmittel, so ist er f\u00fcr die p\u00fcnktliche Bereitstellung verantwortlich. Etwaige Versp\u00e4tungen sind uns rechtzeitig mitzuteilen. Daraus entstehende Kosten tr\u00e4gt der Kunde.\r\n4. Wir sind zu angemessenen Teillieferungen berechtigt.\r\n5. Unsere Lieferverpflichtung steht unter dem Vorbehalt rechtzeitiger und ordnungsgem\u00e4\u00dfer Eigenbelieferung.\r\n6. Angegebene Liefer- und Abladezeiten sind stets unverbindlich, wenn nicht ausdr\u00fccklich schriftlich etwas anderes vereinbart wird. Eine Lieferung oder Leistung ist uns erst dann m\u00f6glich, wenn alle zur Auftragserf\u00fcllung erforderlichen Daten und Angaben bekannt sind.\r\n7. Lieferhemmnisse wegen h\u00f6herer Gewalt oder aufgrund von unvorhergesehenen und nicht von uns zu vertretenden Ereignissen, wie etwa Betriebsst\u00f6rungen, Streik, Aussperrung, beh\u00f6rdliche Anordnungen, nachtr\u00e4glicher Wegfall von Ausfuhr- oder Einfuhrm\u00f6glichkeiten, sowie unser Eigenbelieferungsvorbehalt gem\u00e4\u00df vorstehendem Absatz 5 entbinden uns f\u00fcr die Dauer und den Umfang ihrer Einwirkungen von der Verpflichtung, etwa vereinbarte Liefer- oder Abladezeiten einzuhalten. Sie berechtigen uns auch zum R\u00fccktritt vom Vertrag, ohne dass dem Kunden deshalb Schadensersatz oder sonstige Anspr\u00fcche zustehen.\r\n8. Wird eine vereinbarte Liefer- oder Abladezeit \u00fcberschritten, ohne dass ein Lieferhemmnis gem\u00e4\u00df vorstehendem Abs. 7 vorliegt, so hat uns der Kunde schriftlich eine angemessene Nachfrist von mindestens 2 Wochen einzur\u00e4umen. Wird auch diese Nachfrist von uns schuldhaft nicht eingehalten, ist der Kunde zum R\u00fccktritt vom Vertrag, nicht hingegen zur Geltendmachung von Schadensersatzanspr\u00fcchen aus Nichterf\u00fcllung oder Verzug berechtigt, es sei denn, dass uns Vorsatz oder grobe Fahrl\u00e4ssigkeit trifft.<\/p>\r\n

VI. Zahlung<\/p>\r\n

1. Unsere Forderungen f\u00fcr Lieferungen und Leistungen sind mit dem Datum der Rechnungsstellung ohne jeden Abzug zur Zahlung f\u00e4llig. Wechsel- oder Diskontspesen gehen zu Lasten des Kunden und sind sofort f\u00e4llig.\r\n2. Ger\u00e4t ein Kunde in Zahlungsverzug, sind wir berechtigt, Verzugszinsen in H\u00f6he von 8 % \u00fcber dem Basiszinssatz der EZB zu berechnen (\u00a7 288 Abs.2 BGB). Die Geltendmachung eines weitergehenden Schadens bleibt unber\u00fchrt.\r\n3. Das Recht zur Aufrechnung, Zur\u00fcckbehaltung oder Minderung steht dem Kunden nur zu, wenn seine Gegenanspr\u00fcche rechtskr\u00e4ftig festgestellt, unbestritten oder von uns anerkannt sind. Die Aus\u00fcbung eines Zur\u00fcckbehaltungsrechts ist nur dann zul\u00e4ssig, wenn der Gegenanspruch des Kunden auf dem gleichen Vertragsverh\u00e4ltnis beruht.\r\n4. Wenn bei dem Kunden kein ordnungsgem\u00e4\u00dfer Gesch\u00e4ftsbetrieb mehr gegeben ist oder wenn Umst\u00e4nde eintreten, die seine Kreditw\u00fcrdigkeit zweifelhaft erscheinen lassen, insbesondere wenn bei ihm gepf\u00e4ndet wird, ein Scheck- oder Wechselprotest stattfindet, Zahlungsstockung oder gar Zahlungseinstellung eintritt, oder von ihm ein Insolvenzverfahren beantragt wird, sind wir berechtigt, alle unsere Forderungen sofort f\u00e4llig zu stellen, auch wenn wir Wechsel oder Schecks angenommen haben. VII. Erweiterter Eigentumsvorbehalt<\/p>\r\n1. Wir behalten uns das Eigentum an den von uns gelieferten Waren bis zur vollst\u00e4ndigen Begleichung s\u00e4mtlicher Forderungen vor, die uns aus der laufenden Gesch\u00e4ftsverbindung mit dem Kunden \u2013 auch aus fr\u00fcheren Lieferungen \u2013 zustehen. \u00dcber Pf\u00e4ndungen oder sonstige Eingriffe Dritter sind wir unverz\u00fcglich zu benachrichtigen. 2. Bei vertragswidrigem Verhalten des Kunden, insbesondere bei eingetretenem Zahlungsverzug, sind wir berechtigt, die gelieferte Ware zum Zwecke unserer Befriedigung herauszuverlangen und zu verwerten, ohne dass hiermit ein R\u00fccktritt vom Vertrag verbunden ist. Der bei der Verwertung erzielte Erl\u00f6s ist abz\u00fcglich angefallener Verwertungskosten auf die Verbindlichkeiten des Kunden zur Anrechnung zu bringen.\r\n

VIII. Verl\u00e4ngerter Eigentumsvorbehalt<\/p>\r\n

1. Eine Verarbeitung oder Umbildung der Vorbehaltsware erfolgt stets in unserem Interesse. Das Anwartschaftsrecht des Kunden an der gelieferten Ware setzt sich auch an der verarbeiteten oder umgebildeten Sache fort.\r\n2. Wird die Vorbehaltsware mit anderen, uns nicht geh\u00f6renden Gegenst\u00e4nden verarbeitet oder untrennbar vermischt, so erwerben wir in diesem Zeitpunkt das Miteigentum an der neuen Sache in dem Verh\u00e4ltnis, in dem der objektive Wert der von uns gelieferten Waren zu den anderen verarbeiteten oder vermischten Gegenst\u00e4nden steht. Erfolgt die Vermischung in der Weise, dass die Sache des Kunden als Hauptsache anzusehen ist, wird vereinbart, dass der Kunde uns mit der Verarbeitung stillschweigend und anteilm\u00e4\u00dfig das Miteigentum \u00fcbertr\u00e4gt.\r\n3. Der Kunde ist berechtigt, die Vorbehaltsware im ordentlichen Gesch\u00e4ftsgang zu verarbeiten, umzubilden, mit anderen Gegenst\u00e4nden zu vermischen und\/oder weiter zu ver\u00e4u\u00dfern. Er tritt uns jedoch alle Forderungen, die ihm aus der Weiterver\u00e4u\u00dferung gegen seine Abnehmer oder Dritte erwachsen, in H\u00f6he des mit uns vereinbarten Kaufpreises einschlie\u00dflich Umsatzsteuer ab.\r\n4. Kommt der Kunde in Zahlungsverzug oder tritt eine anderweitige wesentliche Verschlechterung seiner Verm\u00f6gensverh\u00e4ltnisse ein, sind wir berechtigt, eine Weiterver\u00e4u\u00dferung der durch uns gelieferten Ware und den Einzug der aus der Weiterver\u00e4u\u00dferung resultierenden Forderungen zu untersagen.\r\n5. Der Kunde hat uns dann die zur Einziehung der Forderungen notwendigen Informationen zu erteilen, die hierf\u00fcr erforderlichen Unterlagen auszuh\u00e4ndigen und seinen Abnehmern die zu unseren Gunsten erfolgte Vorausabtretung mitzuteilen. Daneben sind auch wir erm\u00e4chtigt, im Namen des Kunden die erfolgte Vorausabtretung anzuzeigen.<\/p>\r\n

IX. Untersuchungspflicht, Gew\u00e4hrleistung<\/p>\r\n

1. Der Kunde ist verpflichtet, die Ware bei Anlieferung am vereinbarten Bestimmungsort bzw. im Falle einer Selbstabholung bei ihrer \u00dcbernahme unverz\u00fcglich nach St\u00fcckzahl, Gewichten und Verpackung zu untersuchen und etwaige Beanstandungen hierzu auf dem Lieferschein oder Frachtbrief bzw. der Empfangsmitteilung zu vermerken, und mindestens stichprobenweise, repr\u00e4sentativ, eine Qualit\u00e4tskontrolle vorzunehmen und hierzu in angemessenem Umfang die Verpackung zu \u00f6ffnen.\r\n2. Bei der R\u00fcge etwaiger M\u00e4ngel sind vom K\u00e4ufer die nachstehenden Formen und Fristen einzuhalten: Die R\u00fcge hat bis zum Ablauf des Werktages zu erfolgen, der auf die Anlieferung der Ware am vereinbarten Bestimmungsort bzw. ihre \u00dcbernahme folgt. Bei der R\u00fcge eines verdeckten Mangels, der trotz ordnungsgem\u00e4\u00dfer Erstuntersuchung gem\u00e4\u00df Abs. 1 zun\u00e4chst unentdeckt geblieben ist, gilt eine abweichende Fristenregelung, wonach die R\u00fcge bis zum Ablauf des auf die Feststellung folgenden Werktages zu erfolgen hat, l\u00e4ngstens aber binnen 2 Wochen nach Anlieferung der Ware bzw. deren \u00dcbernahme. Die R\u00fcge muss uns innerhalb der vorgenannten Fristen schriftlich, per Telefax oder per E-Mail detailliert zugehen. Eine fernm\u00fcndliche M\u00e4ngelr\u00fcge reicht nicht aus. R\u00fcgen gegen\u00fcber Handelsvertretern, Maklern oder Agenten sind unbeachtlich. Aus der R\u00fcge m\u00fcssen Art und Umfang des behaupteten Mangels eindeutig zu entnehmen sein. Der Kunde ist verpflichtet, die beanstandete Ware am Untersuchungsort zur Besichtigung durch uns, unseren Lieferanten oder von uns beauftragte Sachverst\u00e4ndige bereitzuhalten.\r\n3. Nicht form- und fristgerecht ger\u00fcgte Ware gilt als genehmigt und abgenommen.\r\n4. Bei form- und fristgerecht vorgebrachten Beanstandungen und soweit ein von uns zu vertretender Mangel unserer Leistungen vorliegt, sind wir nach unserer Wahl zur Mangelbeseitigung, Ersatzlieferung oder Nachbesserung berechtigt. Hierbei tragen wir die erforderlichen Aufwendungen, insbesondere Transport-, Wege-, Arbeits- und Materialkosten.\r\n5. Weitergehende Rechte und Anspr\u00fcche stehen dem Kunden nicht zu. Insbesondere haften wir nicht auf Schadensersatz wegen Nicht- oder Schlechterf\u00fcllung, es sei denn, dass der von uns gelieferten Ware eine von uns ausdr\u00fccklich zugesicherte Eigenschaft fehlt oder auf unserer Seite Vorsatz oder grobe Fahrl\u00e4ssigkeit vorliegt.<\/p>\r\n

X. Erf\u00fcllungsort\/Gerichtsstand<\/p>\r\n

1. Als Erf\u00fcllungsort f\u00fcr alle Lieferungen, Leistungen und Zahlungen wird ausschlie\u00dflich Villingen-Schwenningen vereinbart.\r\n2. Es gilt das Recht der Bundesrepublik Deutschland. Internationales Kaufrecht ist ausgeschlossen. Das gilt ausdr\u00fccklich auch f\u00fcr die Anwendung des \u00dcbereinkommens der Vereinten Nationen \u00fcber die Vertr\u00e4ge \u00fcber den internationalen Warenverkauf (CISG).\r\n3. Gerichtsstand ist f\u00fcr alle Streitigkeiten aus dem Vertragsverh\u00e4ltnis Villingen-Schwenningen. Wir sind aber auch berechtigt, einen anderen Gerichtsstand zu w\u00e4hlen.<\/p>\r\n

XI. Schlussbestimmungen<\/p>\r\n

1. Die Unwirksamkeit einzelner Bestimmungen dieser allgemeinen Verkaufsbedingungen ber\u00fchrt nicht die Wirksamkeit der \u00fcbrigen Regelungen. Unwirksame Regelungen gelten als durch solche Regelungen ersetzt, die geeignet sind, den wirtschaftlichen Zweck der weggefallenen Regelung so weit wie m\u00f6glich zu verwirklichen.\r\n2. Wir haben Daten \u00fcber den Kunden im Einklang mit dem Datenschutzgesetz I. General<\/p>\r\n

1. The following terms and conditions form an integral part of the contract concluded with us.\r\n2. Our General Terms and Conditions of Sale, in their latest version, shall also apply to all subsequent transactions, without this needing to be expressly stated or agreed upon at the time of their conclusion.\r\n3. We hereby reject any counter-confirmations, counter-offers or other references by the customer to their terms and conditions; any deviating terms and conditions of the customer shall only apply if we have confirmed them in writing.\r\n4. The customer may only assign claims arising from legal transactions concluded with us with our express confirmation.<\/p>\r\n

II. Quotations\/Orders<\/p>\r\n

1. Our quotations are always subject to change \u2013 in particular with regard to quantity, price and delivery time.\r\n2. Orders placed by the customer shall only be deemed accepted once we have confirmed them in writing. The customer remains bound to their order for four weeks after it has been submitted. If we do not specifically confirm a contract concluded verbally, by telephone or by email in writing (e.g. by means of a delivery note), the invoice issued by us shall serve as confirmation.<\/p>\r\n

III. Information<\/p>\r\n

1. Information and details, for example regarding the technical specifications and characteristics of goods and products, are always provided without any guarantee as to their completeness or accuracy. We accept liability only in the event of gross negligence or wilful misrepresentation.<\/p>\r\n

IV. Prices<\/p>\r\n

1. Unless otherwise agreed, our prices are on an \u2018ex works\u2019 basis. Packaging and transport will be invoiced separately.\r\n2. Confirmed prices are binding for a period of 2 months following receipt of the written order confirmation. After this period, invoicing shall be based on the terms charged to us by the manufacturers or suppliers at the prices applicable on the date of performance. If the increase exceeds 10 per cent of the agreed price, the customer is entitled to withdraw from the contract.\r\n3. If, between the conclusion of the contract and delivery, additional or increased charges \u2013 in particular customs duties, levies or currency adjustments \u2013 arise due to changes in legal provisions, we are entitled to increase the agreed purchase price accordingly. The same applies to inspection fees.\r\n4. Unless shown separately, VAT is not included in the prices. It will be invoiced at the statutory rate on the date of performance.<\/p>\r\n

V. Delivery times, delay in performance and partial deliveries<\/p>\r\n

1. Goods are always transported uninsured and, in all cases, at the customer\u2019s risk. This applies even in the case of carriage paid deliveries and regardless of the means of transport used. Transport insurance will only be taken out at the customer\u2019s express request. Any costs arising from this shall be borne solely by the customer.\r\n2. In the absence of any written agreement to the contrary, the choice of dispatch location, route and means of transport shall be made by us at our discretion, without any liability on our part to provide the cheapest or fastest transport.\r\n3. If the customer provides the means of transport, they are responsible for ensuring it is made available on time. We must be notified of any delays in good time. Any costs arising therefrom shall be borne by the customer.\r\n4. We are entitled to make reasonable partial deliveries.\r\n5. Our obligation to deliver is subject to timely and proper supply from our own suppliers.\r\n6. Stated delivery and unloading times are always non-binding, unless expressly agreed otherwise in writing. We shall only be able to effect a delivery or provide a service once all data and information required for the fulfilment of the order are known to us.\r\n7. Delivery delays due to force majeure or unforeseen events for which we are not responsible, such as operational disruptions, strikes, lockouts, official orders, the subsequent loss of export or import opportunities, as well as our right to withhold supply pursuant to paragraph 5 above, shall release us from the obligation to adhere to any agreed delivery or unloading times for the duration and to the extent of their effects. They shall also entitle us to withdraw from the contract, without the customer being entitled to compensation or any other claims as a result.\r\n8. If an agreed delivery or unloading time is exceeded without there being an impediment to delivery as set out in paragraph 7 above, the customer must grant us, in writing, a reasonable grace period of at least 2 weeks. If we fail to meet this grace period through our own fault, the customer shall be entitled to withdraw from the contract, but not to claim damages for non-performance or delay, unless we are guilty of wilful misconduct or gross negligence.<\/p>\r\n

VI. Payment<\/p>\r\n

1. Our claims for goods and services are due for payment without any deduction on the date the invoice is issued. Bill of exchange or discount charges shall be borne by the customer and are due immediately.\r\n2. Should a customer fall into arrears, we are entitled to charge interest on arrears at a rate of 8 per cent above the ECB\u2019s base rate (Section 288(2) of the German Civil Code (BGB)). This does not affect our right to claim further damages.\r\n3. The customer shall only be entitled to set-off, retention or reduction if their counter-claims have been legally established, are undisputed or have been acknowledged by us. The exercise of a right of retention is only permissible if the customer\u2019s counter-claim is based on the same contractual relationship.\r\n4. If the customer is no longer conducting business in the ordinary course or if circumstances arise which cast doubt on their creditworthiness \u2013 in particular if their assets are subject to attachment, a cheque or bill of exchange is protested, payment is delayed or suspended, or if the customer applies for insolvency proceedings, we shall be entitled to declare all our claims immediately due and payable, even if we have accepted bills of exchange or cheques. VII. Extended retention of title<\/p>\r\n1. We retain title to the goods delivered by us until all claims to which we are entitled arising from the ongoing business relationship with the customer \u2013 including those arising from previous deliveries \u2013 have been settled in full. We must be notified immediately of any attachments or other interventions by third parties. 2. In the event of the customer\u2019s breach of contract, in particular in the event of default in payment, we shall be entitled to reclaim the delivered goods for the purpose of satisfying our claims and to realise their value, without this constituting a withdrawal from the contract. The proceeds realised from the sale, less any costs incurred in realising the value, shall be set off against the customer\u2019s liabilities.\r\n

VIII. Extended retention of title<\/p>\r\n

1. Any processing or transformation of the goods subject to retention of title shall always be carried out in our interest. The customer\u2019s right to the goods delivered shall continue to apply to the processed or transformed item.\r\n2. If the goods subject to retention of title are processed or inseparably mixed with other items not belonging to us, we shall at that time acquire co-ownership of the new item in the proportion of the objective value of the goods delivered by us to that of the other processed or mixed items. If the mixing takes place in such a way that the customer\u2019s item is to be regarded as the principal item, it is agreed that the customer shall, by virtue of the processing, tacitly and proportionally transfer co-ownership to us.\r\n3. The customer is entitled to process, transform, mix with other items and\/or resell the goods subject to retention of title in the ordinary course of business. However, the customer assigns to us all claims arising from the resale against its customers or third parties, in the amount of the purchase price agreed with us, including VAT.\r\n4. If the customer defaults on payment or if there is any other material deterioration in their financial circumstances, we are entitled to prohibit the resale of the goods supplied by us and the collection of the claims arising from such resale.\r\n5. The customer must then provide us with the information necessary to recover the claims, hand over the relevant documents and notify its customers of the advance assignment made in our favour. In addition, we are also authorised to give notice of the advance assignment on the customer\u2019s behalf.<\/p>\r\n

IX. Duty to inspect, warranty<\/p>\r\n

1. The customer is obliged, upon delivery of the goods to the agreed destination or, in the case of collection by the customer, upon taking delivery, to inspect the goods immediately with regard to quantity, weights and packaging, and to note any complaints in this regard on the delivery note, consignment note or receipt; and to carry out a quality control check, at least on a representative random basis, opening the packaging to the extent necessary for this purpose.\r\n2. When raising a complaint regarding any defects, the buyer must comply with the following procedures and time limits: The complaint must be made by the end of the working day following the delivery of the goods to the agreed destination or their collection. In the case of a complaint regarding a latent defect which, despite a proper initial inspection in accordance with paragraph 1, remained undetected at first, a different time limit applies, whereby the complaint must be made by the end of the working day following the discovery of the defect, but no later than within 2 weeks of delivery of the goods or their acceptance. The notice of defect must be received by us in writing, by fax or by email, setting out the details, within the aforementioned time limits. A notice of defect given by telephone is not sufficient. Complaints made to commercial representatives, brokers or agents shall be disregarded. The nature and extent of the alleged defect must be clearly stated in the complaint. The customer is obliged to make the goods subject to complaint available at the place of inspection for examination by us, our suppliers or experts appointed by us.\r\n3. Goods for which a complaint has not been made in the proper form and within the prescribed time limit shall be deemed to have been approved and accepted.\r\n4. In the event of complaints made in the proper form and within the prescribed time limit, and provided that there is a defect in our services for which we are responsible, we shall be entitled, at our discretion, to remedy the defect, provide a replacement delivery or carry out rectification work. In doing so, we shall bear the necessary expenses, in particular transport, travel, labour and material costs.\r\n5. The customer shall have no further rights or claims. In particular, we shall not be liable for damages arising from non-performance or defective performance, unless the goods delivered by us lack a characteristic expressly warranted by us or there is intent or gross negligence on our part.<\/p>\r\n

X. Place of performance\/jurisdiction<\/p>\r\n

1. Villingen-Schwenningen is agreed as the exclusive place of performance for all deliveries, services and payments.\r\n2. The law of the Federal Republic of Germany shall apply. International sales law is excluded. This also expressly applies to the application of the United Nations Convention on Contracts for the International Sale of Goods (CISG).\r\n3. The place of jurisdiction for all disputes arising from the contractual relationship is Villingen-Schwenningen. However, we are also entitled to choose a different place of jurisdiction.<\/p>\r\n

XI. Final Provisions<\/p>\r\n

1. Should any provision of these General Terms and Conditions of Sale be invalid, this shall not affect the validity of the remaining provisions. Invalid provisions shall be deemed to be replaced by provisions that are capable of achieving the economic purpose of the invalid provision as far as possible.\r\n2.
